1. Acceptance of Terms

THIS TERMS & CONDITIONS AGREEMENT (the “Agreement”) constitutes a legally binding agreement by and between Urroz, a company organized under the laws of the province of Ontario (“Urroz”) and the client, whether personally or on behalf of an entity (“Client”), with regard to access and use of Urroz’s website: https://www.urroz.ca (the “Website”) and any other media form, channel, or mobile website related, linked or otherwise connected thereto. Failure to agree and adhere to all of the terms, conditions and obligations contained herein results in the express prohibition of the Client’s use of the Website and services, and the Client is ordered to discontinue use immediately. Thereafter the relationship between Client and Urroz shall cease and be of no further force and effect between the parties, except that any obligation of Client to pay Urroz for services rendered shall remain and continue to be an ongoing obligation owed by Client to Urroz.

By subscribing to Urroz's design subscription service, you agree to abide by these Terms & Conditions. Please read them carefully.

2. Subscription Service Overview

Urroz offers a design subscription service that provides the Client with access to design services based on their chosen subscription plan. Subscription plans, pricing, and details are outlined on the Website. Subscriptions are billed monthly and in full up-front from the day of sign-up, and payment is automatically transacted using the payment method provided until Client cancels or pauses their plan via their Stripe Customer Portal. The Client may upgrade or downgrade their subscription plan at any time.

3. Design Requests and Work

The Client will be provided with a task board via the project management platform, Asana. Here, the Client can submit design requests with details provided by the client. Urroz will prioritize and complete design tasks based on the subscription plan and service level selected.

Urroz will work to complete your task within a reasonable timeframe, depending on the full scope of work per task, and provided there are no interruptions or issues experienced within the hardware, software, or other items used by Urroz to complete the task(s) requested by the Client that may cause delays or errors beyond Urroz's control. Urroz will keep client updated should such an interruption occur.

4. Revisions and Client Feedback

Urroz allows for unlimited revisions to design work until the client is satisfied with the final result. The Client is encouraged to provide clear and constructive feedback to facilitate revisions via the comments section of the respective task and/or via Loom video(s) added to the comments section. If more details are required, Urroz will inform the Client.

As we do our very best to keep the tasks progressing and moving forward to meet timely turnaround times, we appreciate prompt feedback to ensure any deadlines are met and to get the most value through your subscription.

After 30 days of no communication from The Client when Urroz has requested any feedback or necessary project assets, we will terminate any ongoing tasks. However, we are human, and we are always open to listening, understanding your position, and seeing where we can help. We just need clear communication.

5. Cancellation and Refunds

The Client can Cancel or Pause (keep your account but skip any amount of months—useful for slow periods) their subscription at any time via their Stripe Customer Portal. No refunds will be issued for partial months, and the subscription will remain active until the end of the current billing cycle.

In the event of cancellation of this partnership, ownership of all copyrights and any original artwork shall be retained by Urroz unless already paid for by the Client.

6. Intellectual Property

Upon final payment, the Client owns the rights to all final design work created through tasks over the basis of Client's subscription service ("Work"). Urroz agrees that Work is produced with the intent that it is unique and will not seek to resell or publish exact copies of Work produced for the Client, except as noted below.

Urroz may use Work in their portfolio (including, but not limited to, any website that displays Urroz's Works). The Client does not have to show the Urroz's name together with Work unless described with any editorial usage. Still, the Client may not seek to mislead others that Work was created by anyone other than Urroz.

All content featured on the Urroz website, including but not limited to text, graphics, images, logos, design elements, and any other materials, are protected by intellectual property rights, including copyright, trademark, and other proprietary rights. The content provided on the Urroz website is intended for informational and personal use only. Unless otherwise indicated, all rights to the content, designs, and materials on the Urroz website are reserved. The Client and visitors may not reproduce, distribute, modify, or create derivative works from any part of the website without explicit written permission from Urroz. In some cases, Urroz may explicitly grant permission for the use or reproduction of specific content, such as downloadable resources, templates, or other materials. Such permissions will be clearly indicated and subject to the specified terms and conditions.

Some content on the Urroz website may be sourced from third parties and used with permission or under licenses. The intellectual property rights for such content remain with the respective third parties, and any use must comply with their terms and conditions.

Urroz takes copyright and intellectual property rights seriously. If you believe that any content on our website infringes upon your copyrights, please contact us immediately to address the issue.

The content on the Urroz website may not be used for commercial purposes, including but not limited to resale, distribution, or incorporation into other products or services, without explicit written consent.

7. Use of Third-Party Fonts

Urroz may incorporate third-party fonts into design projects. The use of third-party fonts is subject to the terms and conditions set forth by the respective font's licensing agreements. If the use of a third-party font requires the purchase or acquisition of a license, Urroz will inform the Client of this requirement before proceeding with the project. It is the Client's sole responsibility to acquire the necessary licenses for any third-party fonts used in their design project. Urroz will not be held liable for any copyright infringement or legal issues arising from the client's use of fonts without the appropriate licenses.

Urroz may provide the client with information about the source and licensing terms of third-party fonts used in their project to facilitate the licensing process. The Client agrees to indemnify and hold Urroz harmless from any claims, damages, or legal actions resulting from the client's use of third-party fonts without the required licenses.

8. Prohibited Activities

The client agrees not to engage in any activities that may exploit, misuse, or compromise the functionality, security, or integrity of Urroz's website, tools, or design processes. Prohibited activities include but are not limited to: a) attempting to gain unauthorized access to Urroz's website, systems, or client data; b) interfering with the proper operation of Urroz's website or tools, including but not limited to introducing viruses, malware, or other harmful code; c) engaging in any form of hacking, phishing, or any unauthorized attempts to access or collect data from Urroz's systems or client accounts; d) disrupting or attempting to disrupt the availability, accessibility, or usability of Urroz's website or tools for other clients or visitors.

The client agrees to respect and adhere to the established design and communication processes provided by Urroz. These processes are designed to facilitate efficient and productive collaboration between the client and Urroz's team. Any intentional disruption or deviation from these processes may result in the termination of the client's subscription.

Engaging in prohibited activities or interfering with Urroz's website, tools, or processes may result in legal actions and may subject the client to civil or criminal penalties under applicable laws.

The Client is encouraged to report any suspected violations of these Terms & Conditions or any suspicious activities related to Urroz's services. Urroz will investigate such reports and take appropriate actions to protect its services and clients.

9. Confidentiality

This agreement is considered a mutual non-disclosure agreement, meaning that neither party, Urroz and the Client, will share, disclose or make use of any information deemed confidential without the express written consent of both parties.

10. Errors and Omissions

The Client’s ultimate responsibility is to thoroughly review the Work and final product or service before approving it. Urroz will do its best to identify and eliminate any content-related errors and omissions. However, Urroz is not responsible should any such error or omission go undetected and become a part of the final materials. Urroz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

The client agrees to indemnify and hold harmless Urroz from any loss, expense, and damages arising from artistry or violation of copyright or trademark laws from the illegal use of images, photographs, trademarks, or graphical work supplied by the Client.

11. Termination

Urroz reserves the right to terminate a client's subscription in cases of non-compliance with these Terms & Conditions.

12. Force Majeure

Neither party shall be held liable or responsible for any failure to perform its obligations under these Terms & Conditions if such failure is caused by circumstances beyond their reasonable control, including but not limited to natural disasters, war, governmental actions, software interruptions, and other events of force majeure ("Force Majeure Events").

If either party is prevented from or delayed in the performance of its obligations due to a Force Majeure Event, that party shall promptly notify the other party in writing, detailing the circumstances of the event and the expected impact on their ability to fulfill their obligations. The affected party's obligations under these Terms & Conditions shall be suspended during the occurrence of the Force Majeure Event. However, the affected party shall make reasonable efforts to mitigate the effects of the Force Majeure Event and resume performance of its obligations as soon as practicable.

If a Force Majeure Event continues for a period of more than 30 days, either party shall have the right to terminate these Terms & Conditions by providing written notice to the other party. In such a case, neither party shall be liable for any damages or claims arising from the termination.

Force Majeure Events shall not excuse the client's obligation to make timely payments for services rendered by Urroz prior to the occurrence of the Force Majeure Event.

The party seeking to rely on a Force Majeure Event as a reason for non-performance or delay shall bear the burden of proving that the event falls within the definition of Force Majeure and that it was beyond their reasonable control.

13. Notices

All communications, including notices, requests, demands, and other correspondence between the Client and Urroz, shall be in writing and may be delivered via Asana, email, postal mail, or through alternate forms as discussed with Urroz, as applicable.

The Client shall provide accurate and up-to-date contact information to ensure effective communication. It is the Client's responsibility to promptly inform Urroz of any changes to their contact details.

14. Non-Waiver

The failure of Urroz to enforce or exercise any right or provision in these Terms & Conditions shall not constitute a waiver of such right or provision. Any waiver of any provision in these Terms & Conditions must be in writing and signed by Urroz to be legally binding.

15. Changes to Terms & Conditions

Urroz reserves the right to modify these Terms & Conditions at any time. The Client will be notified should any significant changes occur.

16. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of Ontario, Canada.

Any disputes arising from or in connection with these Terms & Conditions shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada, and both parties hereby consent to the personal jurisdiction of such courts.

By subscribing to Urroz's design subscription service, you acknowledge that you have read, understood, and agreed to these Terms & Conditions. The proceeding of a design subscription service shall be considered legal and binding.
